These Terms of Service (“Terms”) govern your use of matterinteriors.com (the “Site”) and any interior design, interior architecture, or project management services (the “Services”) provided by Matter Interiors LLC (“Matter,” “we,” “us,” or “our”). By accessing our Site or engaging our Services, you agree to be bound by these Terms.

Matter provides full-service interior design, interior architecture, and project management services for residential and commercial clients. The specific scope of services for each project, including deliverables, milestones, and fees, will be outlined in a separate proposal, quote, or signed agreement between Matter and the client.

When using our Site or working with us, you agree to:

• Provide accurate and complete information about yourself and your project
• Communicate project requirements, budget, and timeline expectations honestly
• Obtain any permissions, approvals, or permits required for your property, unless otherwise agreed in writing
• Use our Site only for lawful purposes

All content on our Site, including design concepts, drawings, renderings, photographs, text, and graphics, is the property of Matter Interiors LLC or its licensors and is protected by copyright and other intellectual property laws. Design concepts and materials created for a client project remain the intellectual property of Matter unless otherwise agreed in a signed contract, even after the project is complete. You may not reproduce, distribute, or otherwise use our content without our prior written permission.

Any quotes, estimates, or proposals provided by Matter are based on the information available at the time and are subject to change if project scope, materials, or timelines change.

Payment terms, including deposit amounts, invoicing schedule, and accepted payment methods, will be outlined in your project agreement.

Late payments may result in project delays and may be subject to an additional fee, as specified in your project agreement.

Estimated project timelines are provided in good faith based on the information available at the time of proposal. Timelines may be affected by factors outside our control, including material availability, contractor scheduling, permitting delays, and client responsiveness. Matter will communicate any significant changes to the estimated timeline as they arise.

Either party may cancel a project by providing written notice.

Deposits and payments for work already completed, materials already ordered, or time already invested are non-refundable. Any additional cancellation terms will be outlined in your project agreement.

To the fullest extent permitted by law, Matter Interiors LLC shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of our Site or Services, including delays, material defects caused by third-party vendors, or contractor performance. Our total liability for any claim related to our Services shall not exceed the total amount paid by you for the specific project giving rise to the claim.

Our Site and Services are provided “as is” without warranties of any kind, express or implied. While we strive to deliver high-quality design and project management services, we do not guarantee that the Services will be uninterrupted or error-free, and we make no warranties regarding the performance of third-party contractors, vendors, or products used in your project.

You agree to indemnify and hold harmless Matter Interiors LLC, its owners, employees, and contractors from any claims, damages, losses, or expenses arising from your breach of these Terms, misuse of our Site, or violation of any law or third-party right.

These Terms are governed by the laws of the State of Colorado, without regard to its conflict of law principles.
